2. Platform Description

UnderContrac Inc. ("UnderContrac," "we," "us," or "our") provides a software platform that enables real estate developers to structure and present capital raise materials, track project milestones, and engage with potential investors. UnderContrac does not offer or sell securities, provide investment advice, facilitate financial transactions, or act as a broker-dealer, funding portal, or investment advisor. Any capital raising activities are conducted solely by the developers who use our platform.

3. Eligibility

You must be at least 18 years old to use the Platform. By using the Platform, you represent that you meet this requirement.

4. Account Registration

To access certain features, you must create an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.

5. User Responsibilities

You agree to use the Platform only for lawful purposes. You may not:

• Misrepresent your identity or affiliation.
• Upload inaccurate, misleading, or illegal content.
• Attempt to reverse-engineer, tamper with, or disrupt the Platform.
• Use the Platform to offer or promote securities in violation of any law.

6. No Financial Transactions or Advice

UnderContrac does not handle money, process investments, or participate in any securities transactions. All deals displayed on the Platform are created and managed by developers. UnderContrac does not verify the legitimacy, performance, or completeness of any offerings. Users are solely responsible for conducting their own due diligence. You are encouraged to consult with licensed legal, financial, or tax professionals before making any investment decisions.

7. Intellectual Property

All content, trademarks, and technology used on the Platform are owned by or licensed to UnderContrac. You may not copy, modify, or distribute any part of the Platform without our written consent.

8. Third-Party Links

The Platform may contain links to third-party sites. We are not responsible for the content, services, or practices of these sites.

9. Platform Access & Modifications

We reserve the right to modify or discontinue any part of the Platform at any time without notice. We are not liable for any interruption, suspension, or loss of access.

10. Disclaimer of Warranties

The Platform is provided "as is" and "as available." UnderContrac makes no warranties, express or implied, about the accuracy, completeness, or fitness of the Platform for any purpose.

11. Limitation of Liability

To the extent permitted by law, UnderContrac is not liable for any indirect, incidental, special, or consequential damages, including lost profits, investment losses, or business disruption, arising from your use of the Platform.

12. Indemnification

You agree to indemnify and hold harmless UnderContrac, its officers, directors, and affiliates from any claims, losses, or liabilities arising out of your use of the Platform, your violation of these Terms, or any content or data you submit.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws rules. Any legal actions shall be brought in the state or federal courts located in Delaware.

14. Changes to These Terms

We may update these Terms periodically. When we do, we'll update the "Effective Date" at the top. Continued use of the Platform after changes constitutes your acceptance.
